Welcome to SwapStop (“Company,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our mobile application, smart locker network, and related services (collectively, the “Service”).

1. ELIGIBILITY

You must be at least 18 years old to use the Service. By using the Service, you represent that you have the legal capacity to enter into a binding agreement.

2. DESCRIPTION OF SERVICE

The Service provides a network of secure lockers and a digital platform that facilitates the temporary storage, transfer, and pickup of items between users.

We are not a party to transactions between buyers and sellers unless explicitly stated. We do not guarantee the quality, safety, legality, or authenticity of any items exchanged.

3. USER RESPONSIBILITIES

You agree to:

• Provide accurate and complete information

• Use the Service only for lawful purposes

• Comply with all applicable laws and regulations

You agree not to:

• Store or transfer illegal, stolen, or prohibited items

• Use the Service for fraudulent activity

• Tamper with lockers or related equipment

• Share access codes with unauthorized parties

You are solely responsible for the items you place in or retrieve from lockers.

4. PROHIBITED ITEMS

You may not use the Service to store or transfer:

• Illegal items or substances

• Weapons, explosives, or hazardous materials

• Perishable goods (unless explicitly allowed)

• Animals or living organisms

• Stolen property

Users may not use the Service or URL import feature to:

• Violate intellectual property rights, copyrights, trademarks, or proprietary rights of others
• Remove watermarks, ownership notices, or branding from imported content
• Submit URLs containing unauthorized, illegal, confidential, or non-public information
• Use automated tools, bots, or scripts in a manner that disrupts or abuses the Service

We reserve the right to remove or dispose of any prohibited items without notice.

5. LOCKER USAGE

• Locker availability is not guaranteed

• Items must be retrieved within the designated time window

• Unclaimed items may be removed, stored, or disposed of at our discretion

• Additional fees may apply for late pickup or extended storage

6. PAYMENTS AND FEES

• Fees may apply for use of lockers and related services

• All payments are non-refundable unless otherwise stated

• We may use third-party payment processors

• If escrow services are offered, funds may be held until delivery is confirmed

7. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

• We are not responsible for lost, stolen, or damaged items

• We do not guarantee uninterrupted or error-free operation

• Our total liability shall not exceed the amount paid by you for the Service in the past 30 days

• We are not responsible for disputes, claims, losses, or damages arising from imported third-party content, including product descriptions, images, pricing, trademarks, or data obtained through the URL import feature.

• We are not responsible for actions taken by third-party platforms, including blocking access, restricting content, issuing complaints, or enforcing their own terms of service.

Use of the Service is at your own risk.

8. DISCLAIMERS

The Service is provided “as is” and “as available” without warranties of any kind, express or implied.

We disclaim all warranties, including:

• Merchantability

• Fitness for a particular purpose

• Non-infringement

The URL import and data extraction feature is provided solely as a convenience tool to assist users with creating listings.

We do not guarantee the availability, accuracy, legality, completeness, or reliability of imported information or third-party content.

9. USER CONTENT

You may provide information such as item descriptions or transaction details. You grant us a limited license to use this content solely to operate and improve the Service.

10. THIRD-PARTY CONTENT AND URL IMPORT FEATURE

The Service may provide features that allow users to import or pre-fill product listing information by submitting URLs from third-party websites or marketplaces.
By using this feature, you acknowledge and agree that:
• You are solely responsible for any URLs, content, images, descriptions, trademarks, pricing, or other materials submitted or imported through the Service.
• You represent that you have the necessary rights, permissions, or legal authority to use, reproduce, display, modify, or repost imported content.
• The Service retrieves only publicly available information for the purpose of assisting users in creating their own listings.
• Imported information may be incomplete, inaccurate, outdated, unavailable, or subject to change.
• You are responsible for reviewing, editing, and verifying all imported information before publishing or sharing listings.
• SwapStop does not claim ownership of third-party content, product information, trademarks, logos, or images.
• Third-party marketplaces, platforms, and websites are not affiliated with, endorsed by, or sponsored by SwapStop.
• Use of third-party content may be subject to the terms, policies, or intellectual property rights of the respective third-party platform or owner.
SwapStop reserves the right to disable, restrict, or remove access to the URL import feature at any time without notice.

11. TERMINATION

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms.

12. PRIVACY

Your use of the Service is also governed by our Privacy Policy.

13. MODIFICATIONS

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

14. GOVERNING LAW
